Starting a business in Denmark

Company structure

Most international companies choose to establish either a private limited company (AS) or a Norwegian-registered foreign company (NUF). The choice impacts taxation, liability, compliance obligations, and perception in the Norwegian market. Business registration

All entities must register with the Register of Business Enterprises. An AS submits Norwegian incorporation documents, while a NUF provides documentation from its foreign parent company. ECIT provides full support and guidance through every step of the registration process.

VAT and tax

The company must assess whether it is tax liable in Norway, and register for VAT if annual turnover exceeds NOK 50,000. If the company hires employees, it must comply with payroll reporting (a-melding), withholding tax, and employers social security contributions. These processes can be complex. Bank account

A Norwegian AS must have a minimum share capital of NOK 30,000, which must be deposited into a Norwegian business bank account before registration is finalised. Opening a business bank account can take time for foreign-owned companies and often requires extensive documentation due to anti-money laundering regulations. For a NUF, no minimum share capital is required. ECIT can assist with the entire process, from setting up the bank account to ensuring all requirements are met efficiently.

Legal compliance

Companies with employees in Norway must comply with Norwegian labor laws, including rules related to working hours, contracts, health and safety (HSE), and termination procedures.
